1. Acceptance of these terms

By accessing Northbound, subscribing, completing a payment, or using any part of the service, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the service.

Northbound is operated by SoftOhm Systems LLC, a limited liability company organized in the United States (“SoftOhm,” “we,” “us,” or “our”).

2. Description of the service

Northbound is a paid subscription to original digital briefings for freelancers and solopreneurs in the United States. The briefings provide practical, informational content related to independent work, clients, tools, and business operations.

The service delivers informational business and freelance content only. It is not regulated financial, investment, tax, accounting, or legal advice. Access to the briefings and to any archive of prior editions (when available) depends on your subscription remaining active.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using Northbound, you represent that you meet these requirements. The service is not directed to children or anyone under 18.

4. Account and purchase

Subscriptions are managed primarily through Stripe (Payment Links / Stripe Billing). When you complete checkout, you provide the information Stripe requires to process payment.

You are responsible for the accuracy of the information you submit and for keeping confidential any access associated with your subscription (for example, the email you used to subscribe or any access links we send you). Do not share your access with others in a way that allows unauthorized use of the content.

5. Fees, billing, and renewals

The published plans are:

  • Monthly: USD $19 per month.
  • Annual: USD $190 per year.

Prices are shown in United States dollars. SoftOhm may update prices with reasonable notice; changes do not affect a period you have already paid, unless applicable law requires otherwise.

Unless you cancel beforehand, subscriptions renew automatically at the end of each period (month or year) at the then-current price, using the payment method on file with Stripe.

You may be responsible for taxes or other charges that apply in your jurisdiction. Where applicable, Stripe or SoftOhm may collect or report taxes according to the billing configuration in effect.

6. Cancellation and refunds

Monthly plan: you may cancel at any time. After cancellation, you keep access through the end of the period already paid; the next cycle will not be charged.

Annual plan: you may cancel so that the subscription does not renew for the following year. Access continues through the end of the paid year.

Refunds: by default, payments are not refundable and are not prorated (including the annual plan), except where applicable law requires a refund or SoftOhm agrees otherwise in writing in a specific case. Canceling stops future renewals; it does not, by itself, create a refund for the current period.

Cancellation is handled through the mechanisms we provide (for example, the Stripe customer portal or the support email listed on your Stripe receipt and welcome email).

7. Intellectual property

All Northbound content — including briefings, text, design, trademarks, and related materials — is owned by SoftOhm Systems LLC or its licensors and is protected by applicable intellectual property laws.

SoftOhm publishes original content. We do not authorize plagiarism or republication of third-party material as ours, and we do not authorize others to plagiarize or redistribute ours.

While your subscription is active, we grant you a personal, limited, non-exclusive, non-transferable, and revocable license to access and use the content solely for your own internal personal or professional use. Without our prior written permission, you may not:

  • redistribute, resell, sublicense, or share the content with third parties on a mass or commercial basis;
  • copy, scrape, index, or automate extraction of the content;
  • publish the full content (or substantial parts of it) on websites, newsletters, groups, or paid products that are not yours to operate under these Terms;
  • remove copyright or other proprietary notices.

8. Acceptable use

You agree not to:

  • use the service in an unlawful or fraudulent way, or in a way that infringes the rights of others;
  • attempt to access systems, data, or subscriptions that are not yours;
  • interfere with the security, availability, or integrity of the service;
  • use the content to train AI models or commercial datasets without written permission;
  • impersonate SoftOhm or Northbound, or suggest an unauthorized affiliation.

A breach may result in suspension or termination of access, without limiting other legal remedies.

9. Important notice about the content

Northbound content is informational and educational regarding business and freelance topics. It does not constitute regulated financial, investment, tax, accounting, or personalized legal advice, and it is not a substitute for advice from a qualified professional.

We do not guarantee specific results (for example, income, clients, or collections). Your decisions and outcomes depend on many factors outside SoftOhm’s control. You use the information at your own risk.

10. Limitation of liability

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

SoftOhm will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or lost business opportunities arising from your use of, or inability to use, Northbound.

SoftOhm’s total aggregate liability to you for claims related to the service will not exceed the amount you paid to SoftOhm for Northbound in the twelve (12) months before the event giving rise to the claim, unless applicable law prohibits that limitation.

11. Indemnity

You agree to defend and indemnify SoftOhm Systems LLC and its officers, employees, and agents against claims, damages, and reasonable expenses (including attorneys’ fees) arising from your misuse of the service, your violation of these Terms, or your infringement of third-party rights, to the extent permitted by law.

12. Changes to these terms or the service

We may modify these Terms or the service (format, frequency, features) when reasonably needed to operate the product. We will post the updated version with a new effective date. Continued use after the changes take effect constitutes acceptance, unless applicable law requires a different consent mechanism.

If a material change adversely affects you and you do not agree, you may cancel your subscription before the next renewal.

13. Termination

You may stop using the service by canceling your subscription as described in the cancellation section. SoftOhm may suspend or terminate access if you breach these Terms, if we reasonably suspect fraud or abuse, or if we must do so for legal or operational reasons. After termination, the right to access the content ends, except that provisions that by their nature should survive (intellectual property, limitation of liability, indemnity, governing law) will survive.

14. Governing law and language

These Terms are governed by and construed in accordance with the applicable laws of the United States and the state of organization of SoftOhm Systems LLC, without regard to conflict-of-law principles, and without limiting any mandatory consumer-protection rules that may apply to you.

These Terms are written in English. If a version in another language is later provided, the English version controls in the event of a conflict, unless applicable law requires otherwise.
